1. Who you are contracting with
LogicVanta is owned and operated by Summit Commerce Group, LLC ("we", "us", "our"), trading as LogicVanta. These Terms & Conditions form an agreement between you andSummit Commerce Group, LLC. Contact: summitcommercebiz@gmail.com.
2. The service
LogicVanta is a web application that helps freelancers and agencies generate, store, share, and export client proposals, including AI-assisted drafting, shareable client proposal links, a record of client acceptance, and PDF export on paid plans.
3. Acceptance and authority
By creating an account or continuing to use LogicVanta you agree to these terms. If you use LogicVanta on behalf of a business, you confirm you have authority to bind that business. If you use it as an individual, you confirm you are of legal age to enter into a contract.
4. Your account
You must provide accurate information and keep it up to date. You are responsible for keeping your credentials confidential and for all activity under your account. Tell us promptly if you suspect unauthorised access.
5. Licence and restrictions
We grant you a limited, non-exclusive, non-transferable, revocable right to use LogicVanta for your own business purposes within the plan you have selected. You must not reverse engineer, decompile, resell or redistribute the service, or circumvent usage limits, rate limits, or plan-based feature gates.
6. Acceptable use
You must not misuse LogicVanta. In particular, you must not:
- use it for any unlawful purpose, or for fraud, spam, or deceptive solicitation;
- infringe anyone's intellectual property, privacy, or other rights;
- upload malware, probe, scan, or attempt to breach security or access other users' data;
- scrape, crawl, or bulk-extract the service, or overload our infrastructure;
- generate content that is illegal, hateful, harassing, defamatory, sexually exploitative, or that impersonates a real person or business without authorisation;
- attempt to jailbreak, bypass, or manipulate AI safety controls.
7. AI-generated content
LogicVanta uses AI models to draft proposal text from the details you provide.
- You are responsible for the inputs you submit, for having the rights to any content you input, for reviewing and verifying every output, and for how you use outputs with your clients.
- Accuracy. Outputs may be inaccurate, incomplete, or unsuitable for your situation. They are drafting assistance, not legal, financial, tax, or professional advice, and should not be sent to a client or relied upon without your own review.
- Rights. You retain ownership of the content you input. As between you and us, you own the outputs generated from your inputs, subject to your compliance with these terms. Similar or identical output may be generated for other users.
- Moderation. We may filter, refuse, restrict, or remove content and outputs, and may suspend accounts, where we reasonably believe these terms have been breached.
- Takedown. Rights-holders may report infringing content to summitcommercebiz@gmail.com. We will review and remove content where appropriate, and repeat infringement will result in termination.
8. Your content
You grant us a limited licence to host, store, process, transmit, and display your content solely to operate and provide the service to you (including generating drafts, rendering shareable client links you create, and producing PDF exports).
9. Our intellectual property
We retain all right, title, and interest in LogicVanta, including its software, design, documentation, and branding. Nothing in these terms transfers our intellectual property to you.
10. Plans, payment and subscriptions
Paid plans are billed in advance on a monthly or annual basis and renew automatically until cancelled. Prices are shown on our pricing section at the time of purchase and are exclusive of any applicable sales tax or VAT, which is calculated at checkout.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, invoicing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. You can cancel or manage your subscription at any time from Settings or via Paddle; access continues until the end of the paid period. See our Refund Policy.
11. Service level
We work to keep LogicVanta available and reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, third-party provider outages, and factors outside our control may affect availability.
12. Warranties
The service is provided "as is". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
13. Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost revenue, lost data, or lost goodwill. Our total aggregate liability is limited to the fees you paid in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be limited by law.
14. Indemnity
You will indemnify us against claims, damages, and reasonable costs arising from your content, your unlawful or infringing use of the service, or your breach of these terms.
15. Suspension and termination
We may suspend or terminate your access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. Where practical we will give notice and an opportunity to fix the problem. You may stop using the service and close your account at any time.
On termination your right to use the service ends. You may export your proposals during a 30-day window after termination, after which your content may be deleted in line with our Privacy Notice.
16. Changes to the service and these terms
We may update the service and these terms. Material changes take effect on notice to you or on the date stated; continued use after that date means you accept them.
17. Assignment
You may not assign these terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
18. Force majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control.
19. Governing law and disputes
These terms are governed by the laws of the State of Indiana, USA, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Indiana, without affecting any mandatory consumer rights in your country of residence.
